Simple terms for a straightforward tool.

1. The service

BaseInvoice provides browser-based tools to view, validate, convert, fix, and create EU e-invoices (XRechnung, Peppol BIS, Factur-X, UBL, CII). The free tier allows validation of a single invoice. Paid plans unlock additional features as described on the pricing page.

2. Accounts

You must provide a valid email address to subscribe to a paid plan. You are responsible for keeping your login link secure. We do not offer password-based authentication — access is granted via signed, time-limited session tokens. You must be at least 18 years old and, if acting on behalf of a company, authorised to bind that company.

3. Acceptable use

You may use BaseInvoice for lawful purposes only. You may not:

• Attempt to reverse-engineer, scrape, or extract the validation rule library at scale.
• Use the API tier to resell validation as a competing service without a separate agreement.
• Upload content that is illegal, harmful, or infringes third-party rights.
• Attempt to circumvent entitlement checks or share paid session tokens.

4. Subscriptions

Paid plans are billed monthly or annually via Stripe. Subscriptions renew automatically at the end of each period. You may cancel at any time through your account page — cancellation takes effect at the end of the current billing period and you retain access until then. We do not offer prorated refunds for partial periods, except where required by applicable law.

5. Day Pass

The Day Pass is a one-time payment granting 24 hours of Pro-tier access from the time of purchase. It is non-refundable once the access window has opened. If the access window fails to open due to a technical error on our side, contact us within 48 hours for a full refund.

6. EU consumer rights

If you are a consumer in the European Union, you have a statutory right to withdraw from a digital service contract within 14 days of purchase. By actively using the service (e.g. validating or fixing an invoice) after purchase, you expressly request immediate performance and acknowledge that you lose this right of withdrawal. This does not affect any other statutory rights you may have.

7. Intellectual property

The BaseInvoice application, validation rules, and underlying software are owned by BaseInvoice and licensed to you for use under these terms. Your invoice data remains yours — we make no claim to it. The EN 16931, XRechnung, Peppol, and Factur-X schematrons are published by their respective standards bodies under open licences.

8. Disclaimer of warranties

The service is provided 'as is' without warranty of any kind. We do not warrant that validation results are free from error, that the service will be uninterrupted, or that it will meet every specific compliance requirement in your jurisdiction. Validation results are informational and do not constitute legal or tax advice.

9. Limitation of liability

To the maximum extent permitted by applicable law, BaseInvoice shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or related to use of the service. Our aggregate liability for any claim shall not exceed the amounts paid by you in the 12 months preceding the claim.

10. Changes to these terms

We may update these terms from time to time. We will notify subscribers by email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance of the revised terms.

11. Governing law

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada, except where mandatory consumer protection law in your country of residence requires otherwise.
